Welcome to Apex Aminos. By accessing our website, registering an account, or making a purchase, you agree to be bound by the following Terms and Conditions. Please read them carefully before placing an order. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services.
1. General Conditions and Age Restriction
By agreeing to these Terms of Service, you represent that you are at least 18 years of age. You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction. We reserve the right to refuse service to anyone for any reason at any time.
2. Strictly Research Use Only (RUO)
All products sold by Apex Aminos are strictly for in-vitro laboratory research purposes only.
- Not for Human Consumption: Under no circumstances are these products to be used for human or veterinary diagnostic purposes, clinical trials, as food additives, dietary supplements, cosmetics, or drugs.
- Buyer Responsibility: The buyer assumes all responsibility and liability for the handling, usage, storage, and disposal of these chemicals. You confirm that you are a qualified researcher, equipped with the necessary knowledge and facilities to safely handle these compounds.
- Misuse: Apex Aminos reserves the right to cancel any order if we suspect the products will be used in a manner violating these terms.
3. Product Descriptions and Pricing
Prices for our products are subject to change without notice. We reserve the right at any time to modify or discontinue a product without notice at any time. We have made every effort to display as accurately as possible the colors and images of our products. We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations.
4. Payment Terms
All transactions are processed securely via Interac e-Transfer. Orders will not be dispatched until the e-Transfer has been fully received and deposited into the Apex Aminos account. Failure to remit payment within 24 hours of placing an order may result in order cancellation. All prices are listed in Canadian Dollars (CAD).
5. Shipping, Customs, and Risk of Loss
All items purchased from Apex Aminos are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier (e.g., Canada Post).
- It is the buyer’s responsibility to ensure that the products ordered are legally permitted to be shipped to their specific location.
- Apex Aminos is not responsible for any packages that are delayed, seized, or destroyed by customs or postal authorities.
6. Returns and Refunds
Due to the highly sensitive nature of research compounds and the risk of degradation or contamination, all sales are final. We do not accept returns or exchanges. If a product arrives damaged or if there is an error with your order, you must contact us within 48 hours of delivery with photographic evidence for review.
7. Limitation of Liability
In no case shall Apex Aminos, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service.
8. Indemnification
You agree to indemnify, defend and hold harmless Apex Aminos and our affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third party.
9. Governing Law
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada.
